Rachael Wexler is a transactional attorney whose practice focuses on mergers and acquisitions, joint ventures, capital markets and media. Ms. Wexler has represented digital studios in acquisitions, joint ventures, licensing and website development, as well as large public and private companies, investors and underwriters in the technology and tech-solutions (including renewable energy), industries in connection with securities offerings, business combination transactions and strategic growth initiatives.

Prior to joining Zuber Lawler & Del Duca, Ms. Wexler was a partner at Glaser Weil Fink Jacobs Howard Avchen & Shapiro LLP and Goodwin Proctor LLP, as well as a Senior Vice President and General Counsel of US Bancorp Libra, a division of US Bank, N.A. and a nationally recognized investment banking and brokerage firm.

  • Represented a large media and technology company in the launch of various websites and media channels.
  • Represented a large multi-media talent agency in a strategic equity partnership with a private equity firm.
  • Represented a leading privately-held waste management company in its sale to one of the largest publicly-traded waste management companies.  Concurrently represented the company’s affiliate in its debt restructuring.
  • Represented a leading construction and demolition debris company in Southern California, and its shareholders, in its sale to one of the largest publicly-traded waste management companies, and its concurrent purchase of a leading specialty vehicle company.
  • Represented a national supplier of processed foods to fast-food outlets in its sale to a private equity firm, and related equity and debt swap transactions.
  • Represented a gift manufacturer in its asset acquisition of giftware and design products from another gift manufacturer and real estate from a stationary manufacturer.
  • Represented the management team of one of the largest manufacturers of non-woven materials in North America, in connection with debt and equity restructurings led by numerous private equity and financial firms.
  • Represented a medical staffing company, with operations in over 12 states, in its acquisition of a Texas-based medical staffing company.
