Javier Gutiérrez assists multinational enterprises, portfolio investors and high net worth individuals in respect of operations and investments in Latin America.  Admitted to practice in Mexico and qualified in California as a Foreign Legal Consultant, Mr. Gutiérrez applies his training in civil and common law systems to assist clients in strategic alliances, joint ventures and foreign direct investment in operating assets and in the commercial real estate and resort sectors, as well as compliance with corporate ethics, anti-corruption, securities and other mandates applicable to transnational business.

Mr. Gutiérrez’s practice focuses on corporate law and real estate, including joint ventures, mergers and acquisitions, and general contractual matters related to existing asset portfolios in Latin and Central America. He has extensive experience negotiating and documenting cross-border financings in various Latin American jurisdictions and the United States, working in structured and project finance, and debt and corporate restructuring and securitization. Mr. Gutiérrez also has experience with arbitration procedures conducted before various arbitral bodies, including the American Arbitration Association.

In Mexico, Mr. Gutiérrez has handled matters before the Ministry of Communications and Transportation, the Ministry of Public Credit and Treasury, the Federal Competition Commission and the National Commission of Foreign Investments, including as to the corporate structure and regulatory compliance of Mexican subsidiaries of foreign U.S. based investors.

Mr. Gutiérrez advises American and international developers, owners and lenders involved with the development, acquisition and financing of real estate in Mexico and the Caribbean, including hotels, condominium, fractional property and timeshare ownership interests. Among the clients that he serves are developers and owners of international point-based vacation clubs with component sites in the United States, Mexico, the Caribbean, Latin and Central America.  In respect to real estate investment in Latin America, he negotiates joint venture agreements, management agreements, development agreements, construction agreements and anchor, sub-anchor and small shop lease agreements regarding residential, retail and industrial portfolios/developments.

Prior to joining Zuber & Taillieu LLP, he practiced as a Mexican attorney in Mexico City with Ritch y Mueller, S.C. and Jáuregui, Navarrete y Nader, S.C., and subsequently in the United States with Greenberg Traurig, LLP.  He also served as Legal Director – Latin America of Kimco Realty Corporation, a Real Estate Investment Trust (REIT) investor based in New York City and active widely in Latin America with a US$2 billion retail/real estate industrial portfolio.
