Joel Ginsberg has a breadth of hands-on legal, transactional, and business expertise and experience allowing him to handle a broad spectrum of business transactions with unique insight into the many complexities and perspectives that arise during a deal.
Mr. Ginsberg concentrates his practice on the representation of public and private companies in mergers and acquisitions, investments in private and public companies, and in connection with securities laws compliance, corporate governance matters, decisions relating to choice of business entity and transaction structure, and other general corporate matters.
He has represented businesses in a variety of industries and of all sizes, from sole proprietorships and start-ups to Fortune 100 corporations, banks, hedge funds, non-profit organizations and individual investors. Mr. Ginsberg has extensive experience with the negotiation and preparation of stock and asset purchase agreements, merger agreements, joint venture and strategic alliance agreements, shareholders’ agreements, confidentiality agreements, employment, consulting and independent contractor agreements, and lending agreements ranging from simple promissory notes to complex syndicated loan agreements.
Mr. Ginsberg has over six years of sophisticated private practice experience as a corporate transactional attorney to his credit. Additionally, Mr. Ginsberg obtained extensive business experience while leading the start-up of the transactional services division of one of the fastest growing companies in Southern California that provides administrative solutions for the legal and financial industries.
