John Kao’s practice focuses on corporate transactions, commercial agreements, securities and corporate governance, including mergers and acquisitions, joint ventures, strategic alliances, corporate investments and financings, ‘34 Act reporting and other securities compliance matters.  Mr. Kao has advised a number of large and middle market corporate clients, with particular expertise and focus in the self-storage and transportation industries.

Prior to joining Zuber Lawler & Del Duca, Mr. Kao served as in-house counsel at an NYSE-listed public company and a multinational transportation and logistics services provider.  He has also practiced as a corporate associate in the Irvine office of Gibson, Dunn & Crutcher LLP and in the New York office of Debevoise & Plimpton LLP.

Notable Representations

  • Served as lead in-house counsel in advising the company’s strategy and corporate development teams on a number of stock and asset acquisitions in Brazil, Canada, Mexico and the U.S.
  • Drafted, reviewed and negotiated a broad range of domestic and international commercial contracts, such as agreements relating to transportation services, licensing of software, technology and other intellectual property, corporate finance, employment, insurance, consulting services and leases of equipment and real estate.
  • Prepared and reviewed proxy statements and Forms 10-K, 10-Q and 8-K and advised on securities law issues and public and private offerings of securities.
  • Developed and implemented corporate governance and compliance policies, including in connection with the code of ethics, records retention, OFAC compliance and board committee policies and charters.
