Zuber & Taillieu’s financial institutions attorneys have deep experience in a broad spectrum of regulatory, transactional and litigation matters for financial institutions, their affiliates and other participants in the financial markets. Firm attorneys have substantial experience representing clients in matters before the Federal Reserve Board, the Office of the Comptroller of the Currency, the Federal Deposit Insurance Corporation, the Securities and Exchange Commission, the Office of Thrift Supervisions, the Department of Housing and Urban Development and other federal and state regulatory authorities having jurisdiction over financial institutions. Firm attorneys have served in various capacities in senior legal and business capacities within financial services enterprises, and are able to call upon this experience and insight in counseling financial institutions with respect to transactional, regulatory and litigation matters. We represent and advise participants in the financial markets in a range of transactional and other matters from extraordinary corporate transactions such as mergers and acquisitions to more everyday matters, including the following:
- Representation of banks and others in purchases and sales of financial assets, including pools of nonperforming assets, such as residential and commercial mortgage loans, credit card receivables, equipment leases, automobile loans and leases and mortgage servicing rights.
- Advising financial firms in connection with business relationships such as strategic alliances, marketing arrangements and vendor relationships between financial institutions and third parties, including representation in connection with commercial disputes.
- Residential and commercial mortgage servicing matters, including default servicing.
- Secured and unsecured lending and loan restructure transactions, including real estate-secured and personal-property-secured loans.
- Analysis and implementation of new financial products and services.
- Financial institution mergers and acquisitions, branch sales and sales of business units.
- Banking regulatory relations matters, including representation of institutions under heightened regulatory scrutiny.
- Intellectual property transactional and litigation matters, including review of software and other licensing arrangements.
- Secondary mortgage market transactions.
- Acting as “outside general counsel” in connection with ongoing matters.
- Securities compliance and corporate governance matters.
- Capital formation activities, including debt and equity offerings.
